PURPOSE AS A DISTINCTIVE FEATURE OF THE STATE PROPERTY PRIVATIZATION

Abstract
The article analyses problematic issues of legal regulation of the role and place of the privatization purpose. According to the State Program of Privatization for 2012-2014, privatization is defined as a large-scale socio-economic project of transformation of state property, which contributes to the accumulation of private property, makes irreversible market transformations. Therefore, of course, there is a need for a clear and comprehensive study of such a legal phenomenon as privatization, in order to take into account all its features and determine the civil law regime of privatizable property. At the level of the legal definition, as a distinctive feature element, among other things, a special purpose of privatization is allocated. The purpose of privatization is considered as its inseparable, cementing component, which, among other things, distinguishes it from other related legal institutes of alienation of state property and determines its substantive content. In particular, such a method of privatization as the sale of privatization objects in an open tender, offering prices on an auction basis (hereinafter referred to as the tender), is a vivid example that clearly demonstrates the role and place of the privatization purpose. Its essence lies in the fact that besides the cost indicators, the buyer must provide certain conditions for the further development of the object of privatization. It seems expedient to illustrate the statistics provided on the website of the SPFU. Thus, for all years of its activities (26 years), the State Property Fund of Ukraine has received 64.2 billion UAH from privatization. At the same time, an additional investment of these funds amounted to 33.5 billion UAH, that is, about a half of the total amount of funds. Instead, the alienation of state-owned objects (as a related to the privatization regime of the alienation of property) does not have a specific, specifically-defined purpose. Alienation of state-owned objects is considered as an integral part of property management, which follows from the system analysis of the Law of Ukraine “On Management of Objects of State-Owned Property” on 19.09.2006 № 185-V and the Exclusion Procedure of state property, approved by the Rule of the Cabinet of Ministers of Ukraine № 803 dated 06.06.2007. It should be noted that these findings, among other things, are also confirmed by law enforcement practice. Thus, the Constitutional Court of Ukraine in its decision № 9-rp on 01.07.1998 in the case № 01/1501-97 № 1-8/98 (on the privatization of state property) noted that “privatization agreements” (Article 27 of the Law) are special contracts of sale and purchase of state property. In its turn, the decision of the Supreme Court of Ukraine dated 09.09.2017 in the case № 6-1081its17 states that the current legislation provides for two methods of alienation of state property, which is entrusted to a state enterprise on the right of economic management: in the order of the privatization process in accordance with requirements of the legislation on privatization and in the process of the economic activity. From here, both theoretical and practical considerations, it is unacceptable to suppose the substitution of the concepts and abuses that occur when, instead of privatization, there is a usual paid alienation of state- owned objects since, in this case, the state loses all the potential embodied in the legal regime of state property privatization. In fact, unfortunately, there is a widespread practice where executives of state-owned enterprises, together with officials of state property management agencies instead of transferring state property for privatization, artificially apply an alternative legal regime for their sale (ordinary alienation). This is possible due to the lack of an effective mechanism that would make it impossible to substitute the concepts and groundless disposal of state property in an alternative way (outside the privatization process), and thus without taking into account the progressive goal of privatization as its constitutive element. In view of the above, it seems to be acutely relevant and timely, introducing the relevant amendments to Exclusion Procedure of state property, approved by the Rule of the Cabinet of Ministers of Ukraine № 803 dated 06.06.2007, which in the shortest possible time would make it impossible for the said abuses.
