Spółka partnerska jako forma działalności przedsiębiorstwa usługowego

Abstract
Przedmiotem opracowania jest analiza przepisów dotyczących powołanej do życia nowego typu spółki, którą jest spółka partnerska. Analiza dokonana została pod kątem wpływu jej kodeksowej konstrukcji na atrakcyjność jako formy działalności przedsiębiorstwa usługowego. Autor omówił genezę tego rodzaju spółki, powody jej wprowadzenia do polskiego systemu prawa oraz problematykę podatkową, w tym tzw. podwójnego opodatkowania. Przedstawił ponadto jej specyfikę jako spółki hybrydalnej i konstrukcję ustawową, w szczególności kwestię odpowiedzialności za zobowiązania, jako jej próbę zminimalizowania bez nadawania spółce osobowości prawnej.
